User Must Comply with Applicable Laws
This Site is based in Atlanta, GA. NASEF makes no claims concerning whether the Content may be downloaded or are appropriate for use outside of the United States. In the event that any portion of the Agreement is held to be invalid or unenforceable, the invalid or unenforceable portion shall be construed in accordance with the applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the Agreement shall remain in full force and effect. The paragraph headings herein are provided only for reference and shall have no effect on the construction or interpretation of the Agreement. NASEF’s' failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement. Neither the course of conduct between parties nor trade practice shall act to modify any provision of the Agreement. The Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, except with regard to its conflicts of law rules. Any action relating to the Content, Site or this Agreement must be brought in the federal or state courts located in Georgia, and you hereby irrevocably consent to the jurisdiction of such courts. Any cause of action you may have with respect to the Content, Site or this Agreement must be commenced within one (1) year after the claim or cause of action arose, or be barred. This Agreement contains the entire agreement of the parties for this Site and supersedes all existing agreements and all other oral, written or other communication between the parties concerning its subject matter. You agree to use the Content and Site only for lawful purposes. FOR AND IN CONSIDERATION of the individual whose name is written below (“Myself”) participation in activities and use of any premises and facilities related to the North America Scholastic Esports Federation (WWSEF (World Wide Scholastic Esports Federation) AKA
NASEF), including transportation to and from, and any equipment supplied to Myself or used by
Myself in connection therewith (collectively, “Participation”), to the fullest extent permitted by applicable laws I agree as follows:
1. I grant to the Releasees a non-exclusive license to use the likeness, image, voice, photograph and/or name of Myself for any and all commercial and non-commercial
purposes in perpetuity including, in connection with the marketing, promotion and/or advertising of WWSEF and/or the Releasees and/or their respective services in any form
or media known and unknown or hereinafter developed without geographic or time restrictions, without the right of prior inspection or approval and without further
considerations, royalties or payment of any kind.
2. This Agreement constitutes my entire understanding regarding the subject matter of this Agreement and supersedes any prior statements, agreements or representations (written or oral) regarding that subject matter. No oral representations, statements or inducements apart from this Agreement as written have been made. I agree that this Agreement is intended to be as broad and inclusive as is permitted by the law of the State of Georgia and that if any portion thereof is held invalid, such invalidity will not affect any other provision that can be given full effect without the invalid provision. The laws of the State of Georgia shall apply to and govern this Agreement, without regard to conflicts of laws principles, and I on behalf of Myself consent to the jurisdiction and venue of the federal, state and local courts located in Atlanta, GA.
3. I have carefully read this Agreement, and I know and understand what it means, including
that it is a complete waiver and release and promise on behalf of myself to indemnify and not to sue or make a claim. My signature below is my own free and voluntary act and I intend this Agreement to be legally binding on me. I certify that I am at least 18 years old.
I represent that I am named below with the legal authority necessary to agree to the terms of this Agreement, I am, in fact, acting in such capacity and agree to save and hold harmless and indemnify the Releasees from all claims, suits, demands, damages, losses, liabilities, costs, expenses and any actions whatsoever, whether known or unknown, which may
be made against the Releasees because of any defect in or lack of such capacity to so act and hereby release the Releasees on behalf of Myself.
